Export to a .pst file.

When you get the option to select folders, go to the very top one. Be sure to also select the box that says to get all the subfolders.

If you have any archive folders, you'll have to do those seperately.

then in 2007, you'll do an import of a .pst file for each of those.

Same with contact I think - although you can also do a select all and copy/paste them into an email to yourself then drag them to the contact icon.
